These Terms and Conditions ("Terms") govern your use of the thefuture.im website and services operated by thefuture.im ("we", "us", or "our"), a company registered in the Netherlands.

By accessing or using our website and services, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access our services.

2. Services

thefuture.im provides the following services:

• AI implementation and transformation consulting
• Workshops and training programs
• Keynote presentations and speaking engagements
• Strategic advisory services
• Innovation consulting

We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.

3. Use of Website

3.1 Acceptable Use

You may use our website for lawful purposes only. You agree not to use the website:

• In any way that violates any applicable law or regulation

4. Professional Services Agreement

4.1 Engagement

When you engage our professional services, a separate service agreement will be established outlining the specific scope of work, deliverables, timelines, and fees.

4.2 Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information necessary for service delivery
• Respond promptly to our requests for information or feedback
• Make timely payments according to agreed terms
• Provide necessary access to systems, personnel, and resources
• Maintain confidentiality of any proprietary methods or information we share

4.3 Fees and Payment

All fees are exclusive of VAT unless otherwise stated. Payment terms are net 30 days from invoice date unless otherwise agreed in writing. Late payments may incur interest charges at the statutory rate.

5. Keynote Speaking Terms

For keynote speaking engagements:

• A non-refundable deposit of 50% is required upon booking confirmation
• The remaining balance is due 14 days before the event
• Travel and accommodation expenses are additional unless otherwise agreed
• Cancellations within 30 days of the event forfeit the full fee
• We retain the right to use general event information for promotional purposes
• Recording or streaming requires prior written agreement

6. Workshop and Training Terms

For workshops and training programs:

• Minimum participant numbers may apply
• Materials provided are for participant use only and may not be reproduced
• Cancellations must be made at least 14 days prior for a full refund
• We reserve the right to cancel or reschedule with full refund if minimum attendance is not met
• Certificates of completion are provided upon full attendance

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of any engagement.

This confidentiality obligation does not apply to information that:

• Is or becomes publicly available through no breach of this agreement
• Was rightfully known prior to disclosure
• Is independently developed without use of confidential information
• Must be disclosed by law or court order

8. Limitation of Liability

To the maximum extent permitted by law, thefuture.im shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total liability for any claim arising out of or relating to these terms or our services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

We do not guarantee that our services will meet all your requirements or that results will be achieved within any specific timeframe.

9. Indemnification

You agree to indemnify, defend, and hold harmless thefuture.im, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of our services or violation of these Terms.

10. Disclaimer of Warranties

Our website and services are provided on an "as is" and "as available" basis. We make no warranties, expressed or implied, regarding the operation of our website or the information, content, materials, or products included on our website.

We do not warrant that our website will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not warrant that our website or the server that makes it available are free of viruses or other harmful components.

11. Privacy

Your use of our website and services is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the site and informs users of our data collection practices.

12. Termination

We may terminate or suspend your access to our website and services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use our services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive termination.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts in Amsterdam, the Netherlands.

14. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations under these Terms if such failure or delay results from circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. Any invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision.

16. Entire Agreement

These Terms constitute the entire agreement between you and thefuture.im regarding the use of our website and services, superseding any prior agreements between you and us relating to the same subject matter.

17. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
